Centene Corporation Announces Pricing of Senior Notes

ST. LOUIS--(BUSINESS WIRE)--Centene Corporation (NYSE: CNC) today announced it priced $175 million aggregate principal amount of its 7 1/4% Senior Notes due 2014 in a private placement primarily pursuant to Rule 144A under the Securities Act of 1933 (the "Securities Act"). The offering is expected to close on or about March 22, 2007. The issuance of the notes will be subject to customary closing conditions. The Company will use a portion of the net proceeds from the offering to refinance approximately $150 million of its existing indebtedness which is currently outstanding under its revolving credit facility. Any additional proceeds will be used for general corporate purposes.

The notes will be offered in the United States to qualified institutional buyers pursuant to Rule 144A under the Securities Act and outside the United States to non-United States persons in compliance with Regulation S under the Securities Act. The notes have not been registered under the Securities Act and may not be offered or sold in the United States without registration or an applicable exemption from the registration requirements.
